These Terms and Conditions ("Terms") govern use of the KLO Development Manager application ("the App"), provided by KLO Technical Services Limited, trading as KLO Development Services ("we", "us", "our"). By using the App you ("you", "the user") agree to these Terms. If you do not agree, do not use the App.

1. Private, authorised use only

The App is a private, internal business tool. It is made available only to KLO Development Services and to individuals we have specifically authorised. It is not offered to the general public, and you may not give access to, or share the App or its contents with, any person who is not authorised by us. Your right to use the App is personal to you, non-transferable, and may be withdrawn by us at any time.

2. Purpose of the App

The App is a tool to assist with identifying, appraising and managing potential land and property development opportunities. It brings together information you enter with information retrieved from third-party data sources. It is provided to support your own professional judgement — not to replace it.

3. No professional advice and no reliance

The information in and produced by the App, including appraisals, financial calculations, planning constraint results, company ownership information and reports, is provided for general guidance only. It does not constitute, and must not be relied upon as, legal, planning, valuation, financial, investment, tax or other professional advice.

In particular:

  • Figures and appraisals depend on the assumptions and inputs used and may not reflect actual outcomes.

  • Planning constraint data is sourced from a national platform that is still in development; coverage varies by area, and the absence of a result does not guarantee that a site is unconstrained.

  • Company ownership information reflects what is published on the public register at the time of the request and may be incomplete, out of date, or require interpretation.

  • Location, boundary and mapping information is indicative only.

You must independently verify any information before relying on it for any decision, transaction or commitment. We strongly recommend obtaining appropriate professional advice (including legal, planning and valuation advice) and confirming title and ownership through official sources before acquiring or committing to any site.

4. Third-party data sources

The App retrieves information from third-party data services. That information is owned and controlled by its providers and is subject to their terms and licences. We do not create that data and do not warrant its accuracy, completeness or availability. The principal sources are set out below.

4.1 Planning data (Open Government Licence)

Planning constraint and related data is provided by the UK Ministry of Housing, Communities and Local Government via the Planning Data platform (planning.data.gov.uk) and is licensed under the Open Government Licence v3.0.

This information is licensed under the Open Government Licence v3.0. © Crown copyright and database rights. Use of this data through the App is subject to the terms of that licence.

4.2 Company information (Companies House)

Company and company-ownership information is sourced from Companies House. This is public-register data made available by Companies House and is subject to Companies House's terms of use. The App accesses this information using an access credential held by us; in using the App you agree not to use the company-information features other than for the App's intended internal due-diligence purpose, and not to do anything through the App that would breach Companies House's terms of use, including any restrictions on bulk extraction, resale, or use of the data to contact or profile individuals unlawfully.

4.3 Land Registry and other sources

Where the App references HM Land Registry or other property data, that data is subject to the relevant provider's licensing and, in the case of HM Land Registry, may be subject to Crown copyright and additional licensing for certain datasets. Title numbers, ownership and boundary extents can only be definitively confirmed through official HM Land Registry channels, which may charge a fee.

5. Your responsibilities

You agree that you will:

  • use the App only for legitimate internal business purposes connected with our development activities;

  • comply with all applicable laws, including data protection law, in how you record and use personal data within the App;

  • comply with the terms and licences of the third-party data sources described above;

  • keep your device and any access credentials secure, and not share access with unauthorised persons;

  • not attempt to extract, copy or redistribute third-party data from the App other than as permitted by the relevant licence; and

  • not misuse the App or use it in any way that could damage, disable or impair it or the third-party services it relies on.

6. Personal data within the App

Where you record personal data of third parties (such as landowners or agents) or view personal data from public registers, you must handle that data in accordance with our Privacy Policy and applicable data protection law. Our Privacy Policy forms part of your use of the App and is available from us at klo@klodevelopmentservices.co.uk.

7. Availability

The App relies on third-party services and internet connectivity, and may be unavailable, delayed or incomplete at times. We do not guarantee that the App or any data source will be available, uninterrupted or error-free, and we may modify, suspend or discontinue the App or any feature at any time.

8. Intellectual property

The App itself, including its design, code and original content, is owned by us. These Terms do not transfer any ownership in the App to you. Third-party data displayed in the App remains the property of, and subject to the rights of, its respective providers.

9. Disclaimer of warranties

The App and all information in it are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of accuracy, completeness, fitness for a particular purpose or non-infringement, to the fullest extent permitted by law.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any loss or damage arising from or in connection with your use of, or reliance on, the App or any information in it, including any direct, indirect or consequential loss, loss of profit, loss of opportunity, or losses arising from inaccurate, incomplete or unavailable data, or from any decision or transaction made in reliance on the App.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Indemnity

You agree to indemnify us against any claims, losses or liabilities arising from your misuse of the App, your breach of these Terms, or your breach of any third-party data source's terms or of applicable law.

12. Changes to these Terms

We may update these Terms from time to time. The effective date above shows when they were last revised. Continued use of the App after a change constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
